Terms of Service

1. Acceptance of Terms

By accessing or using ScoutTrax ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including Scout members, parents/guardians, adult leaders, and unit administrators.

2. Eligibility

• You must be a member, parent, or adult leader of a Boy Scouts of America (BSA) unit to use ScoutTrax
• Users under 18 require parent/guardian approval to create an account
• Users under 13 require verifiable parental consent per COPPA requirements
• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials

3. Account Registration and Security

3.1 Account Creation

When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Use a strong, unique password
• Enable two-factor authentication (recommended for adult leaders)
• Notify us immediately of any unauthorized account access

3.2 Youth Account Requirements

Scout accounts (under 18) require parent/guardian approval before activation. By approving a youth account, parents/guardians:

• Consent to their Scout's use of the Service
• Acknowledge BSA Youth Protection policies apply
• Agree to monitor their Scout's account activity
• Accept responsibility for their Scout's use of the Service

4. Acceptable Use

4.1 Permitted Use

You may use ScoutTrax to:

• Manage your BSA unit's roster, events, and advancement
• Communicate with other members of your unit
• Track Scout progress and achievements
• Coordinate unit activities and logistics

4.2 Prohibited Conduct

You agree NOT to:

• Violate any laws or regulations
• Violate BSA Youth Protection policies
• Harass, threaten, or harm other users
• Impersonate another person or entity
• Share account credentials with others
• Use the Service for unauthorized commercial purposes
• Spam, send unsolicited messages, or abuse messaging features
• Upload malware, viruses, or malicious code
• Attempt to gain unauthorized access to the Service or other accounts
• Scrape, data mine, or harvest user information
• Reverse engineer or decompile the Service
• Remove or modify copyright notices or branding

5. BSA Youth Protection Compliance

All users must comply with BSA Youth Protection policies while using ScoutTrax:

• 2-Deep Leadership: Scout communications automatically include adult supervision per BSA requirements
• No 1-on-1 Contact: Scouts cannot send direct messages to individual adults without additional supervision
• Parent Visibility: Parents/guardians can review their Scout's account activity
• Leader Oversight: Designated unit leaders have visibility into Scout communications for safety monitoring
• Reporting: Any suspected Youth Protection violations must be reported immediately to unit leadership and BSA

6. Content and Intellectual Property

6.1 Your Content

You retain ownership of content you create or upload to ScoutTrax. By using the Service, you grant us a limited license to:

• Store and display your content within the Service
• Process your content to provide Service features
• Share your content with other members of your unit per your instructions

You represent and warrant that:

• You own or have necessary rights to the content you upload
• Your content does not infringe third-party intellectual property rights
• Your content complies with these Terms and applicable laws

6.2 Our Intellectual Property

ScoutTrax, including all software, designs, text, graphics, logos, and other content (excluding user content) is owned by ScoutTrax LLC and protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

7. Email Communications

By creating an account, you consent to receive transactional emails necessary for the Service:

• Account notifications (password resets, security alerts)
• Service notifications (parent approvals, administrative updates)
• Communication from other unit members per platform features

You can manage email preferences in your account settings. Some emails (security, parent approvals) cannot be disabled as they are essential to the Service.

We will never sell your email address or use it for marketing campaigns unrelated to the Service.

8. Privacy

Your use of ScoutTrax is governed by our Privacy Policy, which is incorporated into these Terms by reference.

By using the Service, you acknowledge that you have read and understood our Privacy Policy and consent to our collection, use, and sharing of your information as described therein.

9. Termination

9.1 By You

You may terminate your account at any time by:

• Using the account deletion feature in your settings
• Contacting support at support@scouttrax.com

9.2 By Us

We may suspend or terminate your account if:

• You violate these Terms or our policies
• You engage in fraudulent or illegal activity
• Your account has been inactive for 365+ days
• We are required to do so by law
• Your unit is no longer a BSA-affiliated organization

9.3 Effect of Termination

Upon termination:

• Your access to the Service will cease immediately
• Most of your personal data will be deleted within 30 days
• Compliance and security logs may be retained as required by law
• Provisions of these Terms that should survive termination will remain in effect

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of non-infringement
• Warranties that the Service will be uninterrupted, error-free, or secure
• Warranties regarding the accuracy or reliability of content

We do not warrant that:

• The Service will meet your specific requirements
• Defects will be corrected immediately
• The Service is completely secure or free from harmful components

YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCOUTTRAX LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or goodwill
• Service interruptions or data loss
• Unauthorized access to your account or data
• Errors, mistakes, or inaccuracies in content
• Personal injury or property damage resulting from use of the Service

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED $100 USD OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless ScoutTrax LLC and its officers, directors, employees, and affiliates from any claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your violation of applicable laws or regulations
• Content you submit to the Service

13. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by:

• Posting updated Terms on this page with a new "Last updated" date
• Sending an email notification to your registered address
• Displaying a prominent notice when you log in

Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any dispute arising from these Terms or your use of the Service shall be resolved through:

1. Good faith negotiations between the parties
2. Binding arbitration in Wyoming if negotiations fail

You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ScoutTrax regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without your consent.
